Terms & Conditions
Terms and conditions for using the We Dip LLC website and domestic freight transportation services, including quotes, payment and liability.
1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your use of wedipllc.com (the "Site") and the freight transportation and logistics services provided by We Dip LLC ("We Dip," "we," "us"). By using the Site, requesting a quote or tendering freight, you ("Customer" or "Shipper") agree to these Terms. If a signed agreement or rate confirmation conflicts with these Terms, the signed document controls for that shipment.
2. Our Services
We Dip provides domestic freight transportation and logistics services within the United States, including full truckload, less-than-truckload, expedited, refrigerated, flatbed and last-mile delivery. Services may be performed by We Dip or by qualified, properly authorized motor carriers that we arrange on your behalf.
3. Quotes & Rates
- Quotes are based on the information you provide (locations, commodity, weight, dimensions, dates and special requirements). Inaccurate or incomplete information may change the final rate.
- Quotes are valid for the period stated or, if none is stated, 7 days, and are subject to equipment availability.
- The rate confirmation for each shipment is the agreed price.
- Accessorial charges may apply when services beyond standard pickup and delivery are needed, such as detention, layover, lumper fees, liftgate, inside or residential delivery, re-delivery, storage, reconsignment or Truck Ordered Not Used (TONU).
4. Shipper Responsibilities
- Accurately describe the freight, including weight, dimensions, value and any special handling or temperature needs.
- Package, label and load freight properly so it can withstand normal transportation.
- Have freight ready at the scheduled pickup time and provide safe access to pickup and delivery locations.
- Provide complete and accurate shipping documents, including the bill of lading.
- Do not tender illegal goods, undeclared hazardous materials or prohibited items (see Section 5).
5. Prohibited & Restricted Items
Unless agreed in writing in advance, we do not transport hazardous materials, explosives, firearms or ammunition, live animals, currency or negotiable instruments, jewelry or precious metals, illegal substances, or any item prohibited by federal, state or local law. Shippers are responsible for any fines, damages or costs that result from tendering prohibited or misdescribed freight.
6. Pickup & Delivery Times
Pickup and delivery dates and times are estimates. While we work hard to meet every schedule, we are not liable for delays caused by weather, traffic, road closures, mechanical issues, shipper or consignee delays, government action or other events outside our reasonable control, unless guaranteed service was purchased and confirmed in writing.
7. Payment Terms
- Payment is due as stated on the invoice or rate confirmation. Unless otherwise agreed, invoices are due within 30 days of the invoice date. New customers may be required to prepay.
- Past-due balances may be subject to late fees as permitted by law, and we may suspend services until accounts are current.
- Customer is responsible for reasonable collection costs, including attorney fees, for unpaid balances.
- Freight charges may not be offset against pending claims.
8. Liability & Claims
Carrier liability for loss or damage to interstate freight is governed by the Carmack Amendment (49 U.S.C. § 14706) and applicable regulations. Liability may be limited to the amount stated in the bill of lading, rate confirmation or applicable tariff unless a higher declared value is agreed in writing before shipment and any additional charge is paid. Claims must be filed as described in our Return & Refund Policy. We are not liable for loss or damage caused by the shipper's improper packaging or loading, inherent nature of the goods, acts of the shipper or consignee, or events outside our reasonable control.
9. Limitation of Liability
To the fullest extent permitted by law, We Dip is not liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost sales or business interruption, arising from the Site or Services, even if advised of the possibility of such damages.
10. Indemnification
Customer agrees to indemnify and hold harmless We Dip, its owners, employees and agents from claims, losses, fines and expenses (including reasonable attorney fees) arising from Customer's breach of these Terms, misdescription of freight, tender of prohibited items or violation of law.
11. Use of the Website
You agree to use the Site only for lawful purposes and not to interfere with its operation, attempt unauthorized access, or submit false information. All Site content, including text, graphics and logos, is owned by We Dip LLC or its licensors and may not be copied or used without permission. The Site is provided "as is" without warranties of any kind.
12. Force Majeure
We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, severe weather, fire, pandemics, labor disputes, government orders, fuel shortages or acts of war or terrorism.
13. Governing Law
These Terms are governed by applicable federal law and the laws of the State of [State], without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in [County, State], unless otherwise required by law.
14. Changes to These Terms
We may update these Terms at any time by posting a revised version on this page. Changes apply to shipments tendered and Site use after the updated date.
